Terms and Conditions for selling Workbooks with Identities
1. Agreement
By submitting a workbook to Identities CIC, the client accepts these terms and conditions and authorises Identities CIC to publish the submitted document/s in the Online Shop of the Identities CIC website.
2. Obligations of Client
2.1 To agree that before the submission of an e workbook/e book can take place the client must first purchase a business membership
2.2 To agree to Identities CIC retaining 30% of the full cost of each workbook for administration and Paypal charges related to the hosting and selling of the workbook on your behalf
2.3 To acknowledge that Identities CIC retains full editorial control over all submissions and that Identities CIC will own all copyright of the entry listing in the Help Yourself Toolkit, save that Identities CIC shall not own copyright of the document.
2.4 To provide all materials required for the entries (including JPEG or GIF files if required) in accordance with the procedures of Identities CIC.
2.5 To cost the workbook in line with the vision of Identities CIC vision to offer affordable and accessible resources.
2.6 To ensure that the client’s listing in the Business Directory is renewed annually in order for the workbook/s to be kept sited in shop.
3. Obligations of Identities CIC
3.1 To use reasonable endeavours to ensure that the workbook/s appears in online shop for the specified duration
3.2 To use reasonable endeavours to ensure that the online shop is accessible to users of the World Wide Web 24 hours a day, though Identities CIC will not be liable if for any reason the site is unavailable at any time or for any period.
3.3 Identities CIC does not guarantee any levels of sales
4. Rights of Identities CIC
4.1 If Identities CIC receives a document and considers that it is unacceptable, Identities CIC can refuse to publish the contents. In this case the client will receive notification of this and details of how they can prepare it for publishing. They will also receive a quote from Identities CIC for preparation of the document.
4.2 Identities CIC reserves the right to change the format, style and layout of the Help Yourself Toolkit as and when it sees fit.
4.3 Identities CIC reserves the right to terminate this contract with immediate effect by giving written notice of this to the clients.
5. Withdrawal Notices
5.1 Once an entry is confirmed and placed on the site (or the period in between) workbook/s can be withdrawn, however any withdrawal notices must be received in writing. Withdrawal notices received after the siting of the document will be liable to an administration fee of £25.00, which must be paid by the client before the workbook is removed from the website.
6. Liability
6.1 Identities CIC shall not be liable to the clients for any indirect or consequential losses or damage suffered by the clients including (without limitation) any loss of profits, contracts, revenue, goodwill, business, savings or opportunity irrespective of whether Identities CIC knew or should have known of the possibility of that loss.
6.2 Identities CIC shall not be liable for any losses, damages, expenses (including, without limitation, any costs of finding replacement selling space) suffered or incurred by the clients as a result of the Help Yourself Toolkit not being accessible to users of the world wide web for any period of time.
6.3 Identities CIC shall not be liable for any delay in or non-performance of its obligations under this Agreement to the extent that such delay or non-performance is due to any cause beyond its reasonable control including but not limited to the acts, defaults or omissions of suppliers or sub-contractors, failure of any telecommunications or power network, war, undeclared hostilities, terrorism, industrial action and acts of God.
6.4 Identities CIC will use reasonable efforts to comply with the clients’ requested start dates for display of the workbook but cannot warrant that these dates will be met.
7. Other Conditions
7.1 Any re-submission of the document at any time by the client will incur a fee of £25.00 for which the client must pay the charge.
7.2 The client shall not assign, transfer or resell its right under this agreement.
7.3 Unless otherwise stated, the positioning of the workbook is to be determined by Identities CIC.
7.4 Content of entries is the responsibility of clients.
7.5 All entries submitted by clients should be made via email and under no circumstances will hard copy submissions be accepted.
7.6 Identities CIC will endeavour to process submissions within the week, although it will not be liable for any delay in processing and siting documents.
7.7 All documents will be sited on the website, whilst ever a listing in the Members Business Directory is maintained by the client.
7.8 Identities CIC will endeavour to send advertising to organisations for display and reference purposes, although it cannot guarantee that they will be displayed.
